Elixis — Terms of Service

These Terms of Service ("Terms") are a legal agreement between you, or
the pharmacy or business you represent ("you," "your," or
"Customer"), and PixelWeave ("PixelWeave," "we," "us,"
or "our"), the developer and publisher of Elixis, a
point-of-sale, inventory, and multi-device pharmacy management
application (the "Software").
By downloading, installing, activating, or using Elixis, or by purchasing
a license for it, you agree to be bound by these Terms. If you do not
agree, do not install or use the Software.
These Terms should be read together with the **Elixis Software License
Agreement (EULA)** bundled with the Software (the LICENSE file included
in every copy), which governs the specific rights granted to you to
install and run the Software. Where these Terms and the EULA overlap, the
more specific/recent term controls; where the EULA is silent, these Terms
apply. A separate Privacy Policy covering our data-handling practices
will be published separately and is not part of these Terms until issued.
1. Who We Are, What Elixis Is
Elixis is desktop software for pharmacies and similar retail
businesses, covering point-of-sale checkout, inventory and batch/expiry
(FEFO) tracking, purchasing, suppliers, customers, returns, reporting,
staff accounts, optional multi-device synchronization over a local
network, and optional backup to a user's own Google Drive account.
Elixis is installed and run locally on your own hardware. Unless you
opt into an optional integration described below, Elixis does not
transmit your business data (inventory, sales, customer records, etc.)
to PixelWeave or to any PixelWeave-operated server. There is no
PixelWeave-hosted "cloud" copy of your pharmacy's database.
2. Eligibility and Authority
You must be at least 18 years old, or the age of majority in your
jurisdiction, to accept these Terms. If you are accepting these Terms on
behalf of a pharmacy, company, or other organization, you represent that
you have the authority to bind that organization, and "you" in these
Terms refers to that organization.
Elixis is licensed for legitimate business use by pharmacies and similar
retail operations. It is not intended for use by consumers for personal,
non-commercial purposes.
3. The Free Demo Edition
Elixis is distributed as a free, fully-installable demo edition. No
license purchase, account, or online registration is required to install
and start using it. The demo edition is not a time-limited trial —
it does not expire on a clock — but it is subject to the following
usage limits, which apply per installation:

These limits may be changed by PixelWeave at any time and without notice,
including for future installs. Once a limit is reached, the relevant
action (e.g., adding a new medicine) is blocked until you activate a
paid license; data you have already entered is not deleted, hidden, or
degraded as a result of hitting a limit.
Two features are visible in the demo edition but fully disabled until a
paid license is activated:
- Multi-Device Sync (connecting more than one device to a shared
database over your local network); and
- Google Drive Backup.
4. Paid Licenses
4.1 How licensing works
Elixis paid licenses use node-locked, offline activation: a license
is tied to the Hardware ID ("HWID") of a specific computer — the one
device that will act as the host and hold the real pharmacy
database — not to an online account. There is no subscription server and
no internet connection is required for the Software or your license to
keep working day-to-day.
4.2 Purchase process
Because activation is offline and node-locked, license sales are handled
manually rather than through an automated online checkout:
1. You send us your payment (currently via JazzCash, Easypaisa, or bank
transfer to our Meezan Bank account — see Section 12 for current
contact/payment details) together with the HWID displayed in the
Software's License settings.
2. Once we verify your payment, we generate and send you a signed
license file (license.lic), addressed to that specific HWID.
3. You load the license file into the Software from the License
settings screen to unlock the paid edition on that device.
You are responsible for providing an accurate HWID and for keeping the
license file we send you. We are not responsible for delays or failed
activation caused by an incorrect HWID, a lost license file, or an
inability to reach us through the contact channels we provide.
4.3 What a license unlocks
A valid, active license removes the demo usage limits listed in Section
3 and unlocks Multi-Device Sync and Google Drive Backup on the licensed
(host) device. A license issued to you may be perpetual or fixed-term,
as stated when it is issued to you; PixelWeave has no obligation to
renew a fixed-term license and may charge a fee for renewal or reissue.
4.4 Hardware changes
A license is bound to one physical computer. If that computer's hardware
changes materially, is replaced, or fails, the license will stop
validating and the Software will automatically fall back to the demo
edition on that device (your existing data is not deleted). To move your
license to new hardware, contact us with your new HWID and we will issue
a new license file; we may, at our discretion, treat this as a new
license request subject to then-current pricing and policies, particularly
if we suspect a license is being shared across multiple concurrent
installations rather than transferred to replacement hardware.
5. Fees, Payment, and No Refunds
Current pricing and payment instructions are provided to you directly
(via WhatsApp, email, or our website) at the time of purchase and are
not published as a fixed price list in these Terms. Prices may change at
any time for future purchases; a change in price does not affect a
license you have already been issued.
**The demo edition of Elixis is, and will remain, free to use within the
limits described in Section 3.**
**All paid license purchases are final. Once we have issued a license
file to you, that purchase is non-refundable**, except where a refund
is required by applicable law that cannot be excluded by agreement. This
means, among other things, that you should confirm you're ready to
purchase — and that the hardware you're sending an HWID from is the
computer you intend to use as your permanent host device — before
completing payment. If you have not yet made payment or a license has
not yet been issued to you, no charge has occurred and nothing needs to
be refunded.
You are responsible for any taxes, duties, or bank/mobile-wallet
transfer charges associated with your payment, other than taxes on
PixelWeave's own net income.
6. Multi-Device Sync
Multi-Device Sync lets multiple installations of Elixis on the same
local network share one pharmacy database. One device is the host
(it holds the real database and must carry a valid license); other
devices are clients that connect to the host and have no local copy
of the data. This feature is designed for a single site's local network,
not for connecting devices across the internet or across separate
physical locations, and PixelWeave provides no hosted relay, cloud
sync server, or guarantee of connectivity between devices. You are
responsible for your own local network's security (e.g., Wi-Fi
password, network segmentation) since any device that successfully
pairs with your host can read and write your pharmacy's live data.
7. Software Updates
Elixis periodically checks over the internet for newer versions and can
download and install them (auto-update). Some updates may be marked
mandatory, in which case you may be required to install the update
to continue using the Software. By using the Software you consent to
these update checks and to the installation of updates you accept
through the in-app update prompts. We are not obligated to release
updates, patches, or new versions, and we are not liable for
incompatibilities, data-migration issues, or downtime arising from an
update, though we will make reasonable efforts to test updates before
release.
8. Optional Third-Party Integrations
Elixis offers an optional integration with Google Drive, used only
to back up your local database to a private folder in your own
Google account (not a PixelWeave-operated storage location). If you
choose to enable this feature:
- You are signing in with your own Google account and are subject to
Google's own terms of service and privacy practices for that account;
- You are responsible for the security of that Google account and for
managing the backups stored in it (including deleting them, if
desired); and
- PixelWeave does not have access to your Google account credentials or
to the contents of your Drive backups.
Detailed data-handling practices for this and other features will be set
out in our forthcoming Privacy Policy.
9. Your Business Data
As between you and PixelWeave, you own all data you enter into Elixis —
inventory, batch/expiry records, sales, purchases, customer and supplier
records, staff accounts, and similar business data ("Your Data").
Your Data is stored locally, in a database file on your host device (and
optionally mirrored into your own Google Drive if you enable backup, per
Section 8). **You are solely responsible for backing up, securing, and
controlling access to your host device and your database file.**
PixelWeave does not automatically receive, store, or have access to Your
Data, does not maintain a copy of it on our own systems, and cannot
recover it for you if it is lost, corrupted, or deleted and you have no
working backup — whether from hardware failure, theft, accidental
deletion, disk corruption, or any other cause.
10. Intellectual Property
The Software, including its source code, design, "Elixis" and
"PixelWeave" names and logos, and all associated documentation, is the
property of PixelWeave and is protected by copyright and other
intellectual property laws. Except for the limited license granted to
you under the EULA to install and use the Software, no rights in the
Software are transferred to you. You may not remove, obscure, or alter
any proprietary notices or branding in the Software.
11. Acceptable Use
In addition to the restrictions in the EULA, you agree not to:
- copy, resell, sublicense, rent, or redistribute the Software or any
license file/activation credential to any third party, including
sharing one license across unrelated businesses or locations beyond
what your license permits;
- reverse engineer, decompile, or disassemble the Software, or attempt
to bypass, disable, or tamper with its licensing/activation mechanism,
except to the extent such a restriction is prohibited by applicable
law;
- use the Software to build a competing point-of-sale, pharmacy
management, or inventory product or service;
- use the Software for any unlawful purpose, or in a way that infringes
the rights of any third party (including patients or customers whose
data you store in it); or
- misrepresent your identity or provide false information (including a
falsified HWID) when requesting or activating a license.
We may suspend or refuse to issue or renew a license to any customer we
reasonably believe has violated this Section.
12. Pharmacy, Health, and Regulatory Compliance
**Elixis is business-management software. It is not a source of
medical, pharmaceutical, clinical, or legal advice, and it does not make
dispensing, prescribing, or regulatory decisions for you.**
You (and the licensed pharmacist(s) or pharmacy operator(s) using the
Software) are solely responsible for:
- complying with all applicable pharmacy licensing, drug-control,
controlled-substance, prescription, labelling, record-keeping, and
health-data laws and regulations in your jurisdiction (including, in
Pakistan, applicable federal and provincial pharmacy and drugs
legislation and DRAP requirements, or the equivalent rules in any
other jurisdiction where you operate);
- independently verifying the accuracy of expiry dates, batch numbers,
stock levels, and pricing before dispensing, selling, returning, or
disposing of any medicine, notwithstanding the Software's
First-Expiry-First-Out (FEFO) batch tracking and any reports it
produces; and
- the legality and accuracy of any customer, patient, or staff data you
choose to record in the Software.
FEFO batch tracking, expiry alerts, and related features are decision
support tools intended to help you organize stock; they are not a
substitute for your own professional judgment, physical stock checks,
and regulatory obligations. PixelWeave is not liable for the sale of
expired or mismanaged stock, for regulatory non-compliance, or for any
health, safety, or financial consequence arising from reliance on data
produced by the Software.
13. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF
ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT
LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A
PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT
THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF DATA LOSS, OR
THAT ANY GIVEN COMPUTER SETUP, NETWORK, OR HARDWARE IS SUITABLE FOR
RUNNING IT.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:
(a) PIXELWEAVE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF
PROFITS, REVENUE, GOODWILL, BUSINESS OPPORTUNITY, OR DATA, ARISING OUT
OF OR RELATED TO YOUR USE OF THE SOFTWARE, EVEN IF WE HAVE BEEN ADVISED
OF THE POSSIBILITY OF SUCH DAMAGES; AND
(b) PIXELWEAVE'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO
THESE TERMS OR THE SOFTWARE WILL NOT EXCEED THE AMOUNT YOU ACTUALLY PAID
TO PIXELWEAVE FOR YOUR LICENSE IN THE TWELVE (12) MONTHS PRECEDING THE
EVENT GIVING RISE TO THE CLAIM, OR, FOR CUSTOMERS USING ONLY THE FREE
DEMO EDITION, ONE HUNDRED US DOLLARS (USD 100) OR THE PAKISTANI RUPEE
EQUIVALENT.
Some jurisdictions do not allow certain limitations of liability, so
some of the above limitations may not apply to you to the extent
prohibited by applicable law.
15. Indemnification
You agree to indemnify and hold PixelWeave harmless from any claims,
damages, losses, and expenses (including reasonable legal fees) arising
from: (a) your use of the Software in violation of these Terms or
applicable law; (b) Your Data, including any claim brought by a
customer, patient, employee, or regulator relating to it; or (c) your
violation of any third party's rights.
16. Term, Suspension, and Termination
These Terms remain in effect for as long as you use the Software. We may
suspend or terminate your right to use the Software, or decline to issue
or renew a license, if you materially breach these Terms or the EULA
(including the Acceptable Use restrictions in Section 11) and, where
reasonably practicable, fail to cure that breach after we notify you of
it.
Upon termination, you must stop using the Software and, if requested,
confirm that you have uninstalled it. Termination does not entitle you
to a refund (see Section 5) and does not affect Your Data, which remains
on your own local device/backups; PixelWeave has no ability to remotely
delete or access it. Sections 5, 9–15, and 17–21 survive termination.
17. Support
Support is provided on a reasonable-efforts basis through the contact
channels listed in Section 22 (and shown in the Software itself, e.g.,
when a demo limit or Premium feature is reached). We do not guarantee
any specific response time or service-level commitment, and support may
be limited or unavailable outside our normal business hours in Pakistan.
18. Compliance with Laws; Export
You are responsible for using the Software in compliance with all laws
applicable to you, including any applicable export-control or
sanctions laws restricting the export, re-export, or use of software.
19. Changes to These Terms
We may update these Terms from time to time, for example to reflect
changes to pricing, licensing mechanics, or applicable law. We will post
the updated Terms at [https://elixis.pixelweave.tech/terms](https://elixis.pixelweave.tech/terms)
with a new "Last updated" date. Material changes will, where practical,
also be noted in the Software's update changelog. Continued use of the
Software after an updated version of these Terms takes effect
constitutes acceptance of the changes; if you do not agree, you should
stop using the Software.
20. Miscellaneous
Entire agreement. These Terms, together with the EULA and our Privacy Policy, are the entire agreement between you and
PixelWeave regarding the Software, and supersede any prior discussions
or understandings on the subject.
Severability. If any provision of these Terms is found
unenforceable, the remaining provisions remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of
our right to do so later.
Assignment. You may not assign or transfer these Terms without our
prior written consent (a change of hardware handled under Section 4.4 is
not an assignment). We may assign these Terms in connection with a
merger, acquisition, or sale of assets.
Force majeure. We are not liable for any failure or delay caused by
events beyond our reasonable control (e.g., internet/utility outages,
natural disasters, government action).
Relationship to the EULA. The LICENSE file bundled with the
Software is a separate Software License Agreement governing the specific
rights and restrictions attached to your installation. These Terms
govern the broader commercial relationship (purchasing, fees, support,
liability, and similar matters). Nothing here reduces the license grant
given to you under the EULA.
21. Governing Law and Disputes
These Terms are governed by the laws of the **Islamic Republic of
Pakistan**, without regard to its conflict-of-laws principles. Subject to
any mandatory consumer-protection rules that cannot be excluded, you and
PixelWeave agree that the courts located in Pakistan will
have exclusive jurisdiction over any dispute arising out of or relating
to these Terms or the Software.
